An accord and satisfaction is an agreement between two parties who are already have contractual duties to each other to accept performance at the present time that will in the future satisfy the existing duty between the contracting parties. This differs from a modification in that a modification takes effect immediately, in that performance at the present time will satify the existing duty between the two parties, in effect excusing the preexisting duty between the two contracting parties with the modification.
